Overview

The primary function of this position is to provide legal advice and support to Cook Medical’s European operations. Areas of responsibility will include third party contracts, confidentiality and non-disclosure agreements, IP, corporate compliance and other general business areas. The Legal Counsel will also engage with the company’s legal advisors throughout Europe, the Middle East and Africa.

Responsibilities

  • Work under the guidance of, and in conjunction with, Director and Senior Counsel EMEA with the capacity and expertise necessary to independently provide sound legal advice and support regarding a wide range of legal issues.
  • Advise the business on a wide range of corporate, commercial, and compliance related legal issues and associated legal risk.
  • Prepare, review and negotiate various legal documentation including confidentiality and non-disclosure agreements, service agreements, license agreements, supply agreements etc and obtain expert legal advice when required.
  • Provide legal support to all parts of Cook Medical’s EMEA business including HR, Ethics and Compliance, Medical Education, Divisions, Customer Support and Delivery, Engineering, Marketing, Finance, Quality Assurance, Regulatory Affairs and Operations.
  • Provide general advice and assistance on intellectual property matters and assist in obtaining expert advice.
  • Liaise with and update colleagues at the corporate legal department to ensure unity of purpose and direction.
  • Represent Cook Medical’s position and views at appropriate public affairs forums and meetings where required.
  • Liaise with and manage relationships with external legal advisors as appropriate.
  • Provide legal support in relation to any threatened or actual litigation in Europe.
  • Ad hoc reporting/project work.
  • Work independently under standard practices as much as is practical.  
  • Act as a designee for the Director & Senior Counsel EMEA.
  • Ensure that Cook’s Code of Conduct is considered in all business matters carried out on Cook’s behalf.

 

Qualifications

  • Formal legal qualification and qualified to practice law in Ireland.
  • 2 years + post qualification experience - private practice or in house.
  • Excellent interpersonal skills, and ability to work well as a team member and individually.
  • The ability to communicate and to explain complex legal issues and associated risks in simple language.
  • Proven ability to research and advise on legal issues and draft/negotiate legal documents.
  • Written or spoken ability in at least one major European language (other than English) would be an advantage.
  • Proven problem-solving skills.
  • Excellent organisational skills.
  • High self-motivation.
  • Willingness and availability to travel on company business as required.

The Role
We are looking for an investment funds lawyer to join the AMX legal team reporting directly to the London-based Head of Legal. We would ideally like the candidate to be based from Cork, but other locations will be considered.
The role will primarily focus on the legal and regulatory aspects of launching and maintaining investment funds under AIFMD and UCITS regimes working closely with the Head of Legal and various AMX teams responsible for the on boarding of new managers and investors including the Client Services, Product, Sales, Compliance, Operational Oversight and Risk teams.
